The Ministry of the Economy of the Republic of Slovenia and the Ministry of...of Georgia (hereinafter referred to as "the Parties"), confirming friendly relations between their states and their inhabitants; wishing to promote the development of their economic co-operation in fields of mutual interest on the basis of equality, mutual benefit and reciprocity; considering the mutual benefit arising from increased trade and the wish to strengthen relations further, especially through the promotion of bilateral trade, economic ties and closer co-operation; and considering the obligations of their states arising from international agreements, have agreed as follows: the Parties, within the framework of their laws, regulations and other provisions and considering their international obligations and agreements, shall make their best efforts to develop and strengthen economic co-operation on the widest possible basis and in all the fields they deem to be of their mutual interest and benefit.

The Parties shall strive to create favourable conditions to strengthen economic co- operation, especially by: facilitating and supporting exchange and contacts between their economic operators; creating a favourable atmosphere for investments; facilitating the exchange of business and economic information; helping each other in the organisation of fairs, exhibitions, symposiums, etc.

To this end the Parties hereby establish a Slovene-George Joint Commission which shall deal with the fields covered by this Memorandum and: identify fields to which co-operation between the Parties should be extended, propose measures and make recommendations for their implementation; prepare proposals for improving the possibilities of co-operation between economic operators of the two states; exchange information on the economic situation in the two states, on regulations, economic programmes and other information of mutual interest; identify problems that hinder bilateral trade and economic co-operation and propose measures for their solution.

აცნობიერებენ რა, რომ ამ შეთანხმების საფუძველზე ინვესტიციების წახალისება და დაცვა სამეწარმეო ინიციატივის სტიმულირებას მოახდენს, შეთანხმდნენ შემდეგზე: ამ შეთანხმების მიზნებისათვის: ტერმინი „ინვესტორი" ნიშნავს: (ა) ფიზიკურ პირებს, რომლებსაც აქვთ ერთ-ერთი ხელშემკვრელი მხარის მოქალაქეობა მისი კანონების თანახმად, და (ბ) იურიდიულ პირებს, კორპორაციების, კომერციული ან სხვა სახის კომპანიების, ასოციაციების ან ნებისმიერი სხვა ორგანიზაციების ჩათვლით, რომლებიც კორპორაციის სახით რეგისტრირებული ან დაარსებული არიან აღნიშნული ხელშემკვრელი მხარის კანონის თანახმად, რომლებიც აკეთებენ ინვესტიციას, ან რომლებსაც გაკეთებული აქვთ ინვესტიცია მეორე ხელშემკვრელი მხარის ტერიტორიაზე.
Recognising that the mutual promotion and protection of investments on the basis of this Agreement will stimulate business initiative, Have agreed as follows: For the purpose of this Agreement: The term "investor" shall mean: a) natural persons having the nationality of either Contracting Party, in accordance with its laws, and b) legal persons, including corporations commercial or other companies, associations, or any other entities which are incorporated or constituted in accordance with the law of that Contracting Party, making or having made an investment in the other Contracting Party's territory.

ტერმინი „ინვესტიცია, გაკეთებული ხელშემკვრელი მხარის ინვესტორის მიერ" ნიშნავს ყოველგვარი სახის აქტივს ერთ-ერთი ხელშემკვრელი მხარის ტერიტორიაზე, რომელიც მეორე ხელშემკვრელი მხარის ინვესტორის პირდაპირი ან არაპირდაპირი მფლობელობის ან კონტროლის ქვეშ იმყოფება, მათ შორის: (ა) მოძრავ და უძრავ ქონებას და აგრეთვე ნებისმიერ სხვა სანივთო უფლებას, როგორიცაა იპოთეკები, ქონების დაკავების უფლებები, საგირავნო უფლებები და მსგავსი უფლებები; (ბ) კომპანიათა წილებს, აქციებსა და კომპანიაში სააქციო მონაწილეობის სხვა ფორმებსა და მათგან გამომდინარე უფლებებს; (გ) ობლიგაციებს, სავალო ვალდებულებებს, სესხებს და ვალის სხვა ფორმებსა და მათგან გამომდინარე უფლებებს; (დ) პრეტენზიებს ფულზე ან ნებისმიერი ქმედების შესრულებაზე, რომელსაც ფინანსური ღირებულება აქვს და დაკავშირებულია ინვესტიციასთან; (ე) ინტელექტუალური საკუთრების უფლებებს, მათ შორის კერძოდ საავტორო უფლებებისა და მომიჯნავე უფლებების, კომპიუტერული პროგრამების ჩათვლით, პატენტების, სამრეწველო ნიმუშების, სავაჭრო ნიშნებისა და მომსახურების ნიშნების, გეოგრაფიული მითითებების, წარმომავლობის სახელწოდებების ჩათვლით, ინტეგრალური მიკროსქემების ტოპოლოგიებისა და აგრეთვე ნოუჰაუს შესახებ გაუმჟღავნებელი ინფორმაციის დაცვას; (ვ) ნებისმიერ უფლებას, მინიჭებულს კანონით ან კომპეტენტური სახელმწიფო ორგანოს ადმინისტრაციული აქტით ან კონტრაქტით, ბუნებრივი რესურსების დაზვერვაზე, ძიებასა და ექსპლუატაციაზე კონცესიების ჩათვლით.
The term "investment by an investor of a Contracting Party" shall mean every kind of asset in the territory of one Contracting Party, owned or controlled, directly or indirectly, by an investor of the other Contracting Party, including: a) movable and immovable property as well as any other rights in rem, such as mortgages, liens, pledges and similar rights; b) shares, stocks and other forms of equity participation in a company, and rights derived therefrom; c) bonds, debentures, loans and other forms of debt, and rights derived therefrom; d) claims to money or to any performance having an economic value and associated with an investment; e) intellectual property rights including in particular protection of copyright and neighbouring rights, including computer programmes, patents, industrial designs, trademarks and service marks, geographical indications; including appellations of origin, topographies of integrated circuits as well as undisclosed information on know- how; f) any right, whether conferred by law or an administrative act by a competent state authority, or by contract, including concessions for prospecting, research and exploitation of natural resources.

აქტივების ინვესტირების ან რეინვესტირების ფორმის არანაირი ცვლილება ზეგავლენას არ ახდენს მათი, როგორც ინვესტიციების, ხასიათზე იმ პირობით, რომ ამგვარი ცვლილება ხდება იმ ხელშემკვრელი მხარის კანონებისა და ნორმატიული აქტების თანახმად, რომლის ტერიტორიაზეც გაკეთებული იქნა ინვესტიცია.
Any alteration of the form in which assets are invested or reinvested shall not affect their 'character as investments, provided that such alteration is in accordance with the laws and regulations of the Contracting Party in whose territory the investment has been made.
