საქართველოს მთავრობა (შემდგომში „საქართველოს მთავრობა“), ამ მემორანდუმის მიზნებისათვის განთავსებული თბილისში, საქართველო, და Dubai World (შემდგომში "DW"), დუბაის მთავრობის მიერ სრულად ფლობილი, დუბაის მთავრობის კანონმდებლობით შექმნილი კომპანია, ძირითადი ოფისებით დუბაიში, არაბეთის გაერთიანებული საამიროები (შემდგომში ერთობლივად „მხარეებად“ წოდებულნი) 2007 წლის ___ მარტს ხელს აწერენ ურთიერთგაგების ამ მემორანდუმს (შემდგომში „მემორანდუმი“).
This Memorandum of Understanding (MOU) is hereby made and entered into on this ___ day of March, 2007, by and between the Government of Georgia (GOG), domiciled for the purposes of this MOU in Tbilisi, Georgia, and Dubai World (DW), a wholly-owned entity of Government of Dubai, a company organized under the laws of the Government of Dubai, with its principal offices situated in Dubai, United Arab Emirates (hereinafter referred to as the “Parties”).

აღიარებს რა იმ ფაქტს, რომ ეკონომიკური ზონების, პორტებისა და სხვა შესაბამისი ინფრასტრუქტურის განვითარება წარმოადგენს მთავარ ეკონომიკურ ამოცანას საერთაშორისო ვაჭრობის ხელშესაწყობად და, შესაბამისად, ამგვარი ვაჭრობიდან ეკონომიკური სარგებლის მისაღებად, საქართველოს მთავრობა დაუკავშირდა DW-სა და მის ფილიალ კომპანიებს საქართველოში ეკონომიკური ზონის, პორტებისა და სხვა შესაბამისი ინფრასტრუქტურის განვითარების პროცესში დახმარების მიზნით.
Recognizing that Economic Zones, Ports and other related infrastructure developments constitute essential economic activity for furthering international trade and consequently the economic benefits flowing from such trade, GOG has contacted DW and its affiliate companies to assist in Economic Zone, Ports and other related infrastructure development in Georgia.

ვინაიდან მხარეები აღიარებენ საქართველოს მთავრობის წინაშე მდგარ ამოცანებს, რომლებიც მოიცავს: (I) საქართველოს ეკონომიკის გრძელვადიან განვითარებას, (II) ქართველი ხალხისათვის ეკონომიკური საქმიანობის შესაძლებლობისა და დასაქმების საშუალების მიცემას, (III) საქართველოში ეკონომიკური ზონების, ლოგისტიკური პარკებისა და ბიზნეს-პარკების (შემდგომში, კრებითად „ეკონომიკური ზონა" ან „ეკონომიკური ზონები“) შექმნას, (IV) საქართველოს პორტების საერთო ტვირთგამტარობის ამაღლებას, (V) საქართველოს საერთო განვითარებასა და (VI) სხვა ძირითად ინიციატივებს, რასაც გრძელვადიანი დადებითი ზეგავლენა ექნება საქართველოს ეკონომიკაზე.
WHEREAS the Parties recognize the need for the GOG (I) to develop the Georgian economy over the long term, (II) to create economic opportunities and jobs for the Georgian people, (III) to develop economic zones, logistics parks and business parks in Georgia (together refered to as EZ or EZs) (IV) to develop the overall handling capacity of the Georgian ports, (V) create overall development in Georgia (VI) and to take other key initiatives that will have a long-term beneficial impact upon the economy of Georgia.

ვინაიდან DW არის სავაჭრო-სამრეწველო კომპანია, რომლის მიზანია მოგების მიღება და რომლის საქმიანობის მიზნებიც მოიცავს: (I) ინფრასტრუქტურის განვითარების საქმიანობის სხვადასხვა ასპექტს, მათ შორის, თუმცა არა მხოლოდ, კომერციულად მომგებიანი პორტებისა და ეკონომიკური ზონების ქსელის შექმნას, საცხოვრებელი და დასასვენებელი კომპლექსების მოწყობასა და ბევრ სხვა მსგავს საქმიანობას მთელს მსოფლიოში, და (II) აქციონერებისა და კლიენტების ხარისხიანი მომსახურებით უზრუნველყოფას.

All group companies of DW will be involved in this cooperation, including but not limited to: • “Economic Zone World” and all its associate companies including “Jafza International” (hereinafter called Jafza) the economic zone and business park development company of the group; • DP World (hereinafter called DPW), the global Port development company of the group; • Other companies of the group, such as “Limitless” (real estate and leisure development company), “IGY” (marina and cruise terminal developer company, Istithmar (investment and real estate company), and DC World (Customs management and systems).

NOW, THEREFORE, GOG recognizing DW’s successful track record in delivering major infrastructure development projects across the world, agrees to enter into this MOU for purposes of developing integrated infrastructure development in Georgia.

კერძოდ, იმის გათვალისწინებით, რომ მხარეებს სურთ, განვლონ შეთანხმების შემდეგი ფაზები (შემდგომში კრებითად „პროექტად“ წოდებული):„I ფაზა": საქართველოს მთავრობა და "Jafza" აფორმებენ კონტრაქტს საკონსულტაციო მომსახურების გაწევაზე, რომლის მიზანია შესწავლილ იქნეს ფოთში ეკონომიკური ზონების შექმნისა და საპორტო ნაგებობების მშენებლობის, თბილისში და/ან სხვაგან საქართველოში ეკონომიკური ზონებისა და შიდასახმელეთო განბაჟების პუნქტების მოწყობის, აგრეთვე იმ სხვა ინფრასტრუქტურული პროექტების განხორციელების შესაძლებლობა, რაც საჭირო იქნება ფოთის პორტისა და ეკონომიკური ზონების მეშვეობით საკმარისი მოთხოვნის შესაქმნელად.
Specifically recognizing that the Parties wish to enter into phases of agreement (collectively referred to as the “Project”) as follows: “Phase 1” [GOG] and Jafza enter into a Contract for Consulting Services to investigate the feasibility of establishing economic zones and port facilities in Poti, economic zones and ICDs in T’bilisi and/or elsewhere in Georgia, and other infrastructure projects that must be developed to create enough demand through the port and EZ at Poti.

Concurrently, the [GOG] undertakes to cancel the current tender process for a container terminal at Berth #7 of Poti Seaport, and invite DPW to operate this facility on a short-term basis.

ამ პროცესის ხელშესაწყობად საქართველოს მთავრობა აღნიშნულ კომპანიას პირდაპირი წესით გაუფორმებს საკონცესიო ხელშეკრულებას ფოთის პორტის მე-7 ტერმინალთან მიმართებაში იმის მსგავსი პირობებით, რაც განსაზღვრული იყო დაგეგმილი ტენდერით.
To facilitate the process, the GOG shall award under a direct assignment the concession agreement for Berth #7 at the Port of Poti to DPW, on terms similar to what was envisaged under the planned tender.

DPW shall make appropriate investments in the Berth #7 facility in order to increase capacity until a new container terminal can be developed.

„II ფაზა": "DW" და მთავრობა ამ მემორანდუმის ხელმოწერის მომენტიდან იწყებენ განსაკუთრებულ კეთილსინდისიერ კომერციულ მოლაპარაკებებს ერთობლივი საწარმოებისა და/ან კონცესიების შესაქმნელად, რომელთა მიზანიც იქნება ფოთში ინტეგრირებული ეკონომიკური ზონის შექმნა და საპორტო ინფრასტრუქტურის განვითარება და აგრეთვე შიდასახმელეთო დეპოების/ბიზნეს-პარკების მშენებლობა თბილისში და/ან სხვაგან საქართველოში.
“Phase 2” – DW and [GOG] shall, upon signing of this MOU, enter into exclusive good-faith commercial negotiations intended to lead to joint ventures and/or concessions to develop an integrated economic zone and port development in Poti, together with associated inland depots / business parks in Tbilisi and/or elsewhere in Georgia.
