To facilitate the process, the GOG shall award under a direct assignment the concession agreement for Berth #7 at the Port of Poti to DPW, on terms similar to what was envisaged under the planned tender.

„II ფაზა": "DW" და მთავრობა ამ მემორანდუმის ხელმოწერის მომენტიდან იწყებენ განსაკუთრებულ კეთილსინდისიერ კომერციულ მოლაპარაკებებს ერთობლივი საწარმოებისა და/ან კონცესიების შესაქმნელად, რომელთა მიზანიც იქნება ფოთში ინტეგრირებული ეკონომიკური ზონის შექმნა და საპორტო ინფრასტრუქტურის განვითარება და აგრეთვე შიდასახმელეთო დეპოების/ბიზნეს-პარკების მშენებლობა თბილისში და/ან სხვაგან საქართველოში.
“Phase 2” – DW and [GOG] shall, upon signing of this MOU, enter into exclusive good-faith commercial negotiations intended to lead to joint ventures and/or concessions to develop an integrated economic zone and port development in Poti, together with associated inland depots / business parks in Tbilisi and/or elsewhere in Georgia.

„III ფაზა": ამავდროულად DW და/ან მისი ფილიალები გამოიკვლევენ საქართველოში სხვა ისეთი პროექტების ოპერირების ან შემუშავების შესაძლებლობას, როგორებიც არის ფოთის პორტის, საბაჟოების, რკინიგზის, მშრალი დოკების, საკრუიზო ტერმინალების, საიახტე ნავმისადგომების, სასტუმროების, კურორტებისა და დასასვენებელი ობიექტების, უძრავი ქონების და მისთ.
“Phase 3” – Concurrently DW and/or its affiliates shall investigate the feasibility of operating or developing other projects in Georgia, such as overall management of Poti Port, customs, rail, dry-dock facilities, cruise terminals, marinas, hotels, resorts and leisure facilities, real estate, etc.

ითვალისწინებენ რა იმ დადებით ურთიერთობებს, რომლებიც დამყარდა მხარეებს – საქართველოს მთავრობასა და DW-ს შორის, მდგრადი ეკონომიკური და სოციალური განვითარებისთვის ინფრასტრუქტურული პროექტებისა და სხვა მომსახურებათა განხორციელებისა და გონივრული მართვის პროცესების გაუმჯობესების მიზნით, აღიარებენ რა შეთანხმებაში მონაწილე მხარეთა შორის არსებულ კეთილ ნებას, და დარწმუნებულნი არიან რა, რომ ზემოაღნიშნული მიზნების მიღწევა საერთო სარგებელს მოიტანს, შეთანხმებაში მონაწილე მხარეები შეთანხმდნენ შემდეგზე.

შეთანხმებაში მონაწილე მხარეთა მიზნებია: მოკლე ვადებში შეთანხმდეს და გაფორმდეს ხელშეკრულება საქართველოს მთავრობასა და "Jafza"-ს შორის საკონსულტაციო მომსახურების თაობაზე, აგრეთვე საქართველოს მთავრობასა და "DPW"-ს შორის მე-7 ტერმინალის მოკლე ვადით კონცესიურების შესახებ; "Jafza"-სთან გაფორმებული კონტრაქტით გათვალისწინებულ მომსახურებათა საზღაურად ნაღდი ფულით განსახორციელებელი გადახდების ნაცვლად, გადასახდელი საფასურები ორი წლის განმავლობაში გაიქვითება მე-7 ტერმინალის შესახებ "DPW"-სთან დადებული ხელშეკრულების მიხედვით გათვალისწინებული საიჯარო გადასახადის სანაცვლოდ.
The Objectives of the Contracting Parties are: to promptly negotiate and conclude the proposed Contract for Consulting Services between [GoG] and Jafza, and the short-term concession for Berth #7 between [GoG] and DPW; in lieu of cash payment for services provided under the Jafza contract, fees will be off-set over two years against rental payments due under the Berth #7 contract with DPW.

The [GOG] and Dubai World and its associates and affiliates to enter into good-faith commercial negotiations for realization of the specific Agreements for specific projects envisaged in Phase 2 and other projects identified in Phase 3 above.

Based on the findings of the consulting study and on invitation of GOG Jafza will enter into a separate contract with the GOG, to review and create the new Law for Economic Zones (EZ) in Georgia.

უბრალოდ ახალი კანონპროექტის შექმნის გარდა, კონტრაქტის მიხედვით "Jafza" აგრეთვე დაეხმარება საქართველოს მთავრობას იმის შესწავლაში, თუ რა ზეგავლენას ახდენს ქვეყანაში მოქმედი სხვა საკანონმდებლო აქტები და კანონები ეკონომიკური ზონების შესახებ კანონის პრაქტიკული განხორციელების შესაძლებლობაზე და აგრეთვე შესთავაზებს მასში შესატან საჭირო ცვლილებებს.
Apart from just creating a new draft law, under this contract Jafza will also assist the GoG in studying the impact of other legislations and laws of the country on the practicability of Economic Zone Law and suggest required modification to the same.

The Contracting Parties shall enter into a Confidentiality Agreement in the form annexed hereto, to cover the mutual exchange of information, ideas and expertise with regard to the development of the Project.
