"Jafza"-სა და "DPW"-ს, ან მათს ფილიალებს მიეცემა უფლებები და კონცესია ეკონომიკური ზონისა და საკონტეინერო ტერმინალ(ებ)ის მშენებლობასთან, ექსპლუატაციასთან, მატერიალურ-ტექნიკურ მომსახურებასთან, მართვასთან და დაფინანსებასთან დაკავშირებით, რის დროსაც "Jafza" და "DPW" (ან მათი ფილიალები) მიიღებენ ერთპიროვნული მართვის უფლებებს შესაბამისი პროექტების ფარგლებში მიმდინარე ყველა სამუშაოებთან მიმართებაში.
Jafza and DPW, or their affiliates, will be granted the rights and concession for the development, operation, maintenance, management and financing of the EZ and container terminal(s) with Jafza and DPW (or their affiliates) receiving sole management rights for all operations within the respective projects.

შეთანხმებაში მონაწილე მხარეები თანახმანი არიან, ყოველგვარი გონივრული ძალისხმევა მიმართონ ამ მემორანდუმის პირობათა განხორციელებაზე მომუშავე ჯგუფების შესაქმნელად ამ მემორანდუმის ხელმოწერიდან ორი (2) კვირის განმავლობაში და ყველა ღონეს იხმარენ, რათა საბოლოო შეთანხმება პროექტის II ფაზისთვის განსაზღვრულ ხელშეკრულებათა თაობაზე მიღწეულ იქნეს 3-თვიანი ვადის განმავლობაში.
The Contracting Parties agree to use all reasonable endeavors to establish teams for implementation of this MoU within two (2) weeks of signing of this MoU and shall use all commercially reasonable endeavors to reach a definitive agreement on the contracts for Phase 2 of Project within a 3 month period.

The Contracting Parties agree to provide each other with all reasonably required information and assistance, in order to facilitate the achievement of the objectives set forth in Article 1 above.

[GOG] represents that it is able to grant the envisaged contracts for free zone and container terminal facilities (as envisaged under Phase1 and Phase 2) without a formal tender process under Georgian law.

თუ "Jafza" და "DPW" ვერ შეძლებენ მათთვის ამ მემორანდუმის თანახმად მინიჭებული უფლებების განხორციელებას მემორანდუმის მოქმედების ვადაში, ან თუ საჭირო გახდა ტენდერის ჩატარება, "Jafza"-ს და/ან "DPW"-ს მიერ ამ მემორანდუმის ფარგლებში გაწეულ ყველა ხარჯსა და ზარალს უმოკლეს ვადებში აანაზღაურებს საქართველოს მთავრობა.
If the rights granted to Jafza and DPW pursuant to this MoU cannot be fulfilled by the [GOG], during the period of this MoU or a tender process is required then all costs and losses incurred by Jafza and/or DPW under the terms of this MoU shall be promptly reimbursed by [GOG].

The GOG shall ensure that the Parliament of Georgia enacts a legal text of the new Economic Zone (EZ) law that is consistent with the draft text submitted by Jafza as per the terms of the proposed contract in section 3 of the objective of the MOU.

საქართველოს მთავრობა ადასტურებს, რომ პორტი და ეკონომიკური ზონის შესაქმნელად განსახილველი მიწის ნაკვეთი სრულად იმყოფება მის საკუთრებაში და რომ ის მომავალში დასაწყები მოლაპარაკებების საფუძველზე, პორტისა და ეკონომიკური ზონის შემადგენელ მთელს განსაზღვრულ მიწას გადასცემს მხარეთა ერთობლივ საწარმოს (რომელიც უნდა დაარსდეს ამ მემორანდუმის გაფორმების თარიღის შემდეგ ფოთის პორტისა და ეკონომიკური ზონის სამართავად), საქართველოს მთავრობისა თუ რომელიმე სხვა კერძო ორგანიზაციის მხრიდან რაიმე დატვირთულობისა თუ ფლობის გარეშე ისე, რომ მხარეთა ერთობლივ საწარმოს ექნება სრული უფლება, განახორციელოს განსაზღვრულ მიწაზე ეკონომიკური ზონისა და პორტის მშენებლობა, ექსპლუატაცია და მართვა.
The GOG confirms that they have complete legal possession of the port and EZ land in discussion and based on the negotiation process to be undertaken, shall allocate all identified land comprising the EZ and port to the Parties’ JV company (to be constituted subsequent to the execution date of this MOU to operate the Port and EZ at Poti) free of all encumbrances and occupation of any kind by the GOG or any other private entity, so that the Parties’ JV company shall have free and clear title to the identified land for the development, operation, and management of the EZ and port.

საქართველოს მთავრობა ხელს შეუწყობს აქ მოყვანილი ორმხრივი ვალდებულებებისა და მოვალეობების შესრულებას, მათ შორის, შეუზღუდავად ყველა ნებართვისა და ლიცენზიის გაცემას, რომლებიც საჭიროა პორტის, ეკონომიკური ზონისა და სხვა ისეთი საწარმოების შესაქმნელად, როგორსაც ერთობლივად დაადგენენ "DW" და საქართველოს მთავრობა თანახმად საერთაშორისო „საუკეთესო პრაქტიკის“ სტანდარტებისა.
The GOG shall facilitate the fulfilment of the mutual commitments and obligations set forth herein, including, without limitation, the granting of all applicable permits and licences for purposes of establishing the Port, EZ and other business that is jointly identified by DW and GOG in accordance with international “best practices” standards.

პორტთან და ეკონომიკურ ზონებთან დაკავშირების ხარისხისა და მათი ხელმისაწვდომობის გასაზრდელად და მშენებლობის პროცესის ხელშესაწყობად, საქართველოს მთავრობა შეთანხმებული დროის გრაფიკის ფარგლებში უზრუნველყოფს ექსპლუატაციის ადგილის გარეთ მდებარე მთელი ინფრასტრუქტურის შექმნას, შემოთავაზებული ეკონომიკური ზონების/პორტის პერიფერიულ საზღვრებთან დამაკავშირებელი გზატკეცილისა და სარკინიგზო ხაზის ჩათვლით.
The GOG shall provide all off-site infrastructure, including highway and rail connectivity to the peripheral boundaries of the proposed EZs / Port, within the agreed-upon time schedule so as to improve connectivity and accessibility to the Port and EZs and to support the development process.

საქართველოს მთავრობა უზრუნველყოფს, რომ შემოთავაზებულ ერთობლივ საწარმოს, შექმნილს "DW"-სთან ერთად, მიენიჭოს განსაკუთრებული და ექსკლუზიური იურიდიული უფლება ფლობდეს, ანაშენიანებდეს, ოპერირებდეს და მართავდეს შერჩეულ, განსაზღვრულ ზონებს, რომლებიც მოიცავს პორტს, ეკონომიკურ ზონებს, ლოგისტიკურ ზონას, შიდასახმელეთო ლოგისტიკურ ზონას/საკონტეინერო ტერმინალს, მოგვიანებით საქართველოს მთავრობისა და "DW"-ს მიერ ერთობლივად დასადგენ ტერიტორიებზე, გარდა 99 წლის განმავლობაში პროექტის მფლობელობის, განვითარების, ოპერირებისა და მართვის განსაკუთრებული და ექსკლუზიური იურიდიული უფლებისა.
The GOG shall ensure that the proposed JV company created with DW shall be given the sole and exclusive legal rights to own, develop, operate, and manage selected, designated areas comprising the Port, EZs, Logistics Zone, Inland Logistics Zone/Container Terminal, on sites to be identified later together by GOG and DW in addition to the sole and exclusive legal rights to own, develop, operate, and manage the Project for a period of 99 years.

ამ თვალსაზრისით, საქართველოს მთავრობა უზრუნველყოფს, რომ ერთობლივ საწარმოს ექნება სრული კონტროლისა და არჩევანის უფლება საბოლოო მომხმარებელთათვის მიწის იჯარით გაცემასთან, მიყიდვასთან, მიქირავებასთან, ან სხვაგვარად განკარგვასთან დაკავშირებულ ყველა ხელშეკრულებასთან მიმართებაში, 99 წლამდე ვადით ლიზჰოლდის რეჟიმის ჩათვლით.
In this regard, the GOG shall ensure that the JV company have complete control and choice concerning all contracts with regard to leasing, selling or renting or any other manner to allocate the land to end users, including a lease-hold regime covering a period up to 99 years.

The GOG shall ensure that the JV company be given complete exemption from any current or future Georgian taxes, duties, or any other government levy for the development of the Port and EZ that covers a period for up to 99 years.

საქართველოს მთავრობა, საკუთარი სახელითა და მისი უწყებების, დეპარტამენტების, კომპანიებისა თუ საქართველოს ნებისმიერი სხვა სამთავრობო ან კერძო ორგანიზაციის სახელით, ხელს აწერს და აფორმებს ყველა იმ შეთანხმებასა და ხელშეკრულებას, რომლებიც საჭიროა "DW"-ს, მისი ასოცირებული და პარტნიორი კომპანიების, აგრეთვე ამ მემორანდუმის მიხედვით წარმოქმნილი სხვა შესაბამისი კომპანიების იურიდიული, კომერციული და ეკონომიკური ინტერესების დასაცავად.
8 The GOG, on its own behalf and on behalf of its agencies, departments, companies, or any other government or private body in Georgia, shall sign and execute all agreements and contracts that are necessary to protect all of the legal, commercial, and economic interests of DW, its associate and allied companies and other related companies that arise under this MOU.

საქართველოს მთავრობა აცნობიერებს და თანახმაა, რომ მხარეთა ერთობლივ საწარმოს უნდა ჰქონდეს ექსკლუზიური უფლება, დანიშნოს "Jafza" ან "DP World", ანდა "DW"-ს ნებისმიერი სხვა კომერციული საწარმო ეკონომიკური ზონების ან პორტების მმართველად და არც საქართველოს მთავრობას, და არც საქართველოს რომელიმე სხვა სამთავრობო ორგანოს არ უნდა ექნეს ამ საკითხზე რაიმე სახის უფლებამოსილება ან ძალაუფლება.
The GOG understands and agrees that the Parties’ JV company shall have the exclusive authority to appoint Jafza or DP World any other DW business enterprise as the manager of the EZs or ports, and neither GOG nor any other Georgian government body shall have any authority or power over that subject matter.
