The GOG shall provide all off-site infrastructure, including highway and rail connectivity to the peripheral boundaries of the proposed EZs / Port, within the agreed-upon time schedule so as to improve connectivity and accessibility to the Port and EZs and to support the development process.

The GOG shall ensure that the proposed JV company created with DW shall be given the sole and exclusive legal rights to own, develop, operate, and manage selected, designated areas comprising the Port, EZs, Logistics Zone, Inland Logistics Zone/Container Terminal, on sites to be identified later together by GOG and DW in addition to the sole and exclusive legal rights to own, develop, operate, and manage the Project for a period of 99 years.

ამ თვალსაზრისით, საქართველოს მთავრობა უზრუნველყოფს, რომ ერთობლივ საწარმოს ექნება სრული კონტროლისა და არჩევანის უფლება საბოლოო მომხმარებელთათვის მიწის იჯარით გაცემასთან, მიყიდვასთან, მიქირავებასთან, ან სხვაგვარად განკარგვასთან დაკავშირებულ ყველა ხელშეკრულებასთან მიმართებაში, 99 წლამდე ვადით ლიზჰოლდის რეჟიმის ჩათვლით.
In this regard, the GOG shall ensure that the JV company have complete control and choice concerning all contracts with regard to leasing, selling or renting or any other manner to allocate the land to end users, including a lease-hold regime covering a period up to 99 years.

საქართველოს მთავრობა უზრუნველყოფს, რომ ერთობლივი საწარმო სრულად განთავისუფლდეს საქართველოს ყველა ამჯამინდელი თუ სამომავლო გადასახადისგან, საბაჟო მოსაკრებლისგან თუ სხვა სამთავრობო ბეგრისგან პორტისა და ეკონომიკური ზონის მშენებლობასთან დაკავშირებით, 99 წლამდე პერიოდით.
The GOG shall ensure that the JV company be given complete exemption from any current or future Georgian taxes, duties, or any other government levy for the development of the Port and EZ that covers a period for up to 99 years.

საქართველოს მთავრობა, საკუთარი სახელითა და მისი უწყებების, დეპარტამენტების, კომპანიებისა თუ საქართველოს ნებისმიერი სხვა სამთავრობო ან კერძო ორგანიზაციის სახელით, ხელს აწერს და აფორმებს ყველა იმ შეთანხმებასა და ხელშეკრულებას, რომლებიც საჭიროა "DW"-ს, მისი ასოცირებული და პარტნიორი კომპანიების, აგრეთვე ამ მემორანდუმის მიხედვით წარმოქმნილი სხვა შესაბამისი კომპანიების იურიდიული, კომერციული და ეკონომიკური ინტერესების დასაცავად.
8 The GOG, on its own behalf and on behalf of its agencies, departments, companies, or any other government or private body in Georgia, shall sign and execute all agreements and contracts that are necessary to protect all of the legal, commercial, and economic interests of DW, its associate and allied companies and other related companies that arise under this MOU.

საქართველოს მთავრობა აცნობიერებს და თანახმაა, რომ მხარეთა ერთობლივ საწარმოს უნდა ჰქონდეს ექსკლუზიური უფლება, დანიშნოს "Jafza" ან "DP World", ანდა "DW"-ს ნებისმიერი სხვა კომერციული საწარმო ეკონომიკური ზონების ან პორტების მმართველად და არც საქართველოს მთავრობას, და არც საქართველოს რომელიმე სხვა სამთავრობო ორგანოს არ უნდა ექნეს ამ საკითხზე რაიმე სახის უფლებამოსილება ან ძალაუფლება.
The GOG understands and agrees that the Parties’ JV company shall have the exclusive authority to appoint Jafza or DP World any other DW business enterprise as the manager of the EZs or ports, and neither GOG nor any other Georgian government body shall have any authority or power over that subject matter.

The laws of England shall govern this Agreement, without reference to the principles of conflict of laws thereof.

ნებისმიერი დავა, წარმოქმნილი შეთანხმების მონაწილე მხარეთა შორის ამ მემორანდუმის ინტერპრეტაციის შედეგად ან მასთან დაკავშირებით, რომელსაც მხარეები ვერ მოაგვარებენ ოცდაათი (30) დღის განმავლობაში, გადაეცემა ლონდონში მდებარე სავალდებულო ძალის მქონე არბიტრაჟს თანახმად საერთაშორისო სავაჭრო პალატის საარბიტრაჟო წესებისა.
Any dispute between the Contracting Parties arising out of, or in connection with, the interpretation of this MoU which cannot be resolved by the Parties within thirty (30) days shall be submitted to binding arbitration in London under the arbitration rules of the International Chamber of Commerce.

ამ დებულებათა ვერც ერთი ცვლილება, შესწორება ან დარღვევის შემთხვევაში განსახორციელებელ უფლებებზე უარის თქმა ძალაში ვერ შევა, სანამ წერილობითი ფორმით არ იქნება ხელმოწერილი ორივე მხარის მიერ, ან, უფლებებზე უარის თქმის შემთხვევაში, იმ მხარის მიერ, ვის წინააღმდეგაც განცხადებულია ამგვარი უარის თქმა.
No change, amendment, or waiver of any breach of these provisions shall be effective unless in writing signed by both parties, or in the case of a waiver, by the party against whom such waiver is claimed.

The Government of the People's Republic of China and the Government of Georgia, (hereinafter referred to as the Contracting Parties), recognizing the particular importance of the equal and effective protection of intellectual property for the development of the mutually beneficial cooperation in the sphere of economy, trade, science, technology and culture between the two states, desiring to create favorable conditions for such cooperation in the principle of equality and mutual benefit, have agreed as follows.

In accordance with the national laws and the binding regional legislation in the field of intellectual property, as well as in accordance with the international agreements to which both contracting states are parties, the Contracting Parties shall protect the intellectual property rights appropriately and effectively.

ხელშემკვრელ მხარეთა თანამშრომლობა ინტელექტუალური საკუთრების დაცვის სფეროში მოიცავს: 1. კოორდინაციას ეკონომიკის, ვაჭრობის, მეცნიერების, ტექნოლოგიისა და კულტურის სფეროში თანამშრომლობის განხორციელების პროცესში ინტელექტუალური საკუთრების დაცვასთან დაკავშირებული საკითხებისა და აგრეთვე დახმარების გაწევას ორივე სახელმწიფოს შესაბამის ორგანოთა და ორგანიზაციათა შორის ინტელექტუალური საკუთრების დაცვის სფეროში თანამშრომლობის შესახებ შეთანხმებათა დადებაში; 2. ინფორმაციის გაცვლას ინტელექტუალური საკუთრების სფეროში არსებული საკანონმდებლო აქტების შესახებ.
The cooperation of the Contracting Parties in the sphere of intellectual property protection shall cover: 1. Coordination of the issues related to intellectual property protection during implementation of the cooperation in the sphere of economy, trade, science, technology and culture as well as the assistance in the conclusion of the agreements on cooperation in the sphere of intellectual property protection between the corresponding bodies and organizations of both states; 2. Exchange of information on the legislation in the sphere of intellectual property.

Exchange of views on major issues related to the development of the international intellectual property system; Exchange of the experience in international cooperation as well as of the information on participation of each country in the multilateral international treaties in the sphere of intellectual property protection and implementation of these treaties; Other aspects of cooperation agreed by the Contracting Parties.
